Terms of service

These Terms of Service ("Terms") govern your purchase and use of DeskBot software and related services (the "Service"), operated by DeskBot ("DeskBot," "we," "us"), located at 1325 Mendon Rd, Unit A, Cumberland, RI 02864, United States.
By purchasing, downloading, installing, or using DeskBot, you agree to these Terms. If you do not agree, do not purchase or use the Service.
1. Eligibility
You must be at least 18 years old and legally capable of entering a binding contract. You are responsible for ensuring that your use of DeskBot is lawful where you live. DeskBot is not offered where its use would be prohibited.
2. RISK DISCLOSURE — READ THIS
Trading involves substantial risk of loss. You can lose some or all of the money you put at risk, and losses can exceed your initial outlay in some products and account types.
- DeskBot is a software tool, not a financial advisor. Nothing DeskBot produces — signals, outputs, automated orders, backtests, charts, documentation, marketing copy, or support correspondence — is investment advice, financial advice, tax advice, legal advice, or a recommendation to buy, sell, or hold any asset.
- We are not registered as an investment adviser, broker-dealer, commodity trading advisor, futures commission merchant, or in any similar regulated capacity with the SEC, CFTC, FINRA, NFA, or any other regulator, and we do not act in any such capacity.
- No guarantee of performance. We make no promise, representation, or warranty that DeskBot will be profitable, will avoid losses, will perform as it has in the past, or will perform as it does in testing or demonstration.
- Past performance does not predict future results. Any historical results, backtests, simulated results, or example outcomes shown anywhere are illustrative only. Simulated results have inherent limitations and do not reflect real execution, slippage, fees, liquidity, or the emotional reality of trading live capital.
- Automated trading carries its own risks, including software defects, configuration mistakes, network or power interruption, exchange or broker outages and API changes, latency, unexpected market conditions, and orders executing in ways you did not intend. Automation does not remove risk; it changes its shape and can increase the speed at which losses occur.
- Every trading decision is yours. You choose whether to run DeskBot, how to configure it, how much capital to expose, and when to stop. You are solely responsible for all trading activity in your accounts, including activity initiated by software you have configured and enabled.
- Only risk capital. Do not trade with money you cannot afford to lose entirely, including funds needed for living expenses, housing, debt service, retirement, or emergencies.
- Consider professional advice. Consult a licensed financial professional about whether automated trading is appropriate for your circumstances, and a tax professional about the treatment of your trading activity.
3. Licence
Subject to these Terms and your payment in full, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable licence to install and use DeskBot for your own use for the duration of your purchased access period.
You may not:
- resell, rent, lease, sublicense, distribute, or make DeskBot available to any third party;
- share your credentials, licence key, or access with anyone else, or use one licence across more users than your plan allows;
- copy, modify, translate, or create derivative works of the software;
- reverse engineer, decompile, or disassemble the software, or attempt to derive its source code, except where that restriction is prohibited by law;
- remove or obscure any proprietary notices;
- use DeskBot to build or train a competing product;
- use DeskBot for any unlawful purpose, including market manipulation, wash trading, or any activity that violates the rules of an exchange or broker you connect to.
All rights not expressly granted are reserved. DeskBot and all associated intellectual property remain ours.
4. Your accounts and connections
DeskBot may connect to third-party exchanges, brokers, or data providers using credentials or API keys that you supply. You are responsible for:
- the security of your own credentials, API keys, devices, and accounts;
- the permissions you grant those keys (we recommend granting the narrowest permissions your use requires, and never enabling withdrawal permissions);
- complying with the terms of service of any exchange or broker you connect to.
We are not a party to your relationship with any exchange, broker, or data provider, and we are not responsible for their acts, omissions, outages, fees, or decisions.
5. Purchases, billing, and renewal
- Prices are in US dollars and are exclusive of any applicable taxes unless stated otherwise.
- One-Day Pass: a single, non-recurring purchase granting access for the stated period.
- Weekly, Monthly, and Annual Memberships: recurring subscriptions that automatically renew at the end of each billing period at the then-current price until cancelled. By subscribing, you authorize us and our payment processors to charge your payment method on each renewal date.
- We will give you reasonable advance notice by email before any price increase takes effect on your plan. If you don't want the new price, cancel before the next renewal.
- If a payment fails, we may retry it and may suspend or terminate access until payment succeeds.
- Cancellation is governed by our Subscription Cancellation Policy. Refunds are governed by our Return and Refund Policy.
6. Availability and changes
We may modify, update, suspend, or discontinue any part of DeskBot at any time. We may need to take the Service offline for maintenance, security, or technical reasons. We do not guarantee uninterrupted or error-free operation, and we do not guarantee that DeskBot will remain compatible with any particular exchange, broker, operating system, or hardware configuration.
If we permanently discontinue the Service during a paid subscription term, we will provide a prorated refund for the unused portion of that term.
7. Disclaimer of warranties
DESKBOT IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND. To the fullest extent permitted by law, we disclaim all warranties, express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and any warranty arising from course of dealing or usage of trade.
We do not warrant that DeskBot will meet your requirements, that it will be uninterrupted, timely, secure, or error-free, that defects will be corrected, or that any result obtained through it will be accurate, reliable, or profitable.
8. Limitation of liability
To the fullest extent permitted by law, we will not be liable for any trading losses, lost profits, lost opportunity, lost data, business interruption, or any indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or relating to DeskBot, however caused and on any theory of liability, even if we have been advised of the possibility of such damages.
Our total aggregate liability for all claims relating to DeskBot will not exceed the greater of (a) the total amount you paid us in the twelve (12) months before the event giving rise to the claim, or (b) one hundred US dollars ($100).
Some jurisdictions do not allow certain exclusions or limitations, so parts of this section may not apply to you. Nothing here excludes liability that cannot lawfully be excluded, including liability for fraud.
9. Indemnification
You agree to indemnify and hold harmless DeskBot and its owners, officers, and agents from any claim, loss, liability, or expense (including reasonable legal fees) arising from your use of DeskBot, your trading activity, your breach of these Terms, or your violation of any law or third-party right.
10. Termination
You may stop using DeskBot at any time; cancellation of a subscription is covered by our Subscription Cancellation Policy. We may suspend or terminate your access immediately if you breach these Terms, if we suspect fraud or unauthorized use, or if required by law. On termination, your licence ends and you must stop using and remove the software. Sections 2, 3 (restrictions), 7, 8, 9, and 11 survive termination.
11. Governing law and disputes
These Terms are governed by the laws of the State of Rhode Island, without regard to its conflict-of-laws rules. You and we agree that any dispute will be brought exclusively in the state or federal courts located in Rhode Island, and you consent to their jurisdiction. If any provision is found unenforceable, the rest remains in effect.
12. Changes to these Terms
We may update these Terms. If we make material changes, we will update the effective date above and, where reasonable, notify you by email or in the product. Continued use after changes take effect means you accept them.
